PlexoBio Terms and Conditions

1. Scope and Acceptance

These Terms and Conditions (“Terms”) govern your use of the PlexoBio online marketplace (“Platform”), operated by PlexoA GmbH, based in Mannheim, Germany. By registering for, accessing, or using the Platform, you (“User”) agree to comply with and be bound by these Terms. If you do not agree, you may not use the Platform.

2. Platform Description

PlexoBio connects service providers (“Providers”) and service seekers (“Clients”) in the life sciences and biopharma sector. The Platform is operated exclusively for users who have undergone a background check and vetting process. PlexoBio acts solely as an intermediary and is not a party to any contract for services between Providers and Clients.

3. User Accounts

  • Users must provide accurate, current, and complete information during registration and maintain the accuracy of their account details.
  • Users are responsible for maintaining the confidentiality of their account credentials and all activities conducted under their account.
  • PlexoBio may suspend or terminate accounts for violations of these Terms, suspected fraud, or other unlawful activity.

4. Marketplace Rules

  • Users may not use the Platform for unlawful, fraudulent, deceptive, or harmful activities.
  • Prohibited actions include posting false information, infringing intellectual property, spamming, harassment, or attempting to circumvent Platform processes.
  • Users may not circumvent PlexoBio’s fee structure or directly contact or transact with other users outside the Platform after initial introduction.
  • PlexoBio reserves the right to remove content, investigate violations, and suspend or terminate accounts at its sole discretion.

5. Relationship Between Users

  • Contracts for services are concluded directly between Providers and Clients. PlexoBio is not a party to such contracts.
  • PlexoBio does not guarantee the quality, legality, performance, or delivery of services and assumes no liability for disputes between Users.

6. Fees, Payments, and Taxes

  • PlexoBio charges a 20% commission on the total value of each successful client acquisition through the Platform.
  • All payments must be processed via the Platform. Direct transactions outside of PlexoBio are strictly prohibited.
  • The commission is automatically deducted from payments before disbursal to Providers.
  • All commission fees are exclusive of applicable taxes, which will be added as required by law.
  • Users are responsible for all taxes arising from transactions, including VAT where applicable. PlexoBio may withhold payments pending tax compliance or verification.
  • Commission obligations extend to all future business relationships between Users introduced through the Platform for a period of 36 months following initial contact, whether conducted on or off the Platform.

7. Intellectual Property

  • All content on the Platform, including logos, designs, software, and text, is the intellectual property of PlexoBio or its licensors.
  • Users grant PlexoBio a non-exclusive, royalty-free, worldwide license to use, display, and distribute any user-submitted content for operational and promotional purposes.
  • Users may not copy, alter, or distribute Platform content without written permission.

8. Data Protection and Privacy

  • PlexoBio processes personal data in accordance with applicable German and EU data protection laws (GDPR).
  • Users consent to the collection and processing of their data as described in the Platform’s Privacy Policy.

9. Limitation of Liability

  • PlexoBio is not liable for indirect, incidental, or consequential damages arising from Platform use.
  • Liability for direct damages is limited to the amount paid by the User to PlexoBio in the 12 months preceding the claim, except in cases of gross negligence or willful misconduct as required by law.

10. Non-Circumvention

Users agree not to circumvent the Platform or its commission system by conducting direct business with Clients or Providers they met through PlexoBio. This obligation remains in effect for 36 months after the last interaction on the Platform. Violations may result in account termination, legal action, and financial penalties equal to the lost commission.

11. Indemnity

Users agree to indemnify and hold harmless PlexoA GmbH, its affiliates, directors, and employees from any claims, losses, damages, liabilities, or legal fees arising out of their use of the Platform, breach of these Terms, or violation of applicable laws or third-party rights.

12. User Verification Disclaimer

While all users undergo a background check and vetting process, PlexoBio makes no warranties regarding the continuous accuracy, completeness, or suitability of user qualifications or information.

13. Confidentiality

Users agree to maintain the confidentiality of all business-sensitive information obtained through the Platform, including pricing, contract terms, communications, and proprietary data or methodologies shared in the course of Platform use.

14. Dispute Resolution

Users agree to first attempt to resolve any disputes amicably through written communication. If unresolved, disputes will be submitted to mediation under the German Mediation Act. Failing mediation, the parties may pursue legal remedies in accordance with Section 17.

15. Termination

  • Users may terminate their account at any time via account settings.
  • Providers must disclose any ongoing engagements with Clients at the time of account termination. Commission obligations remain enforceable post-termination.
  • PlexoBio may suspend or terminate access for violations of these Terms, suspected unlawful activity, or other business or legal concerns, with or without notice.

16. Audit Rights

PlexoBio reserves the right to audit communication or transaction history and request documentation from Users if circumvention or breach of Terms is suspected. Users agree to cooperate in good faith with such investigations.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes shall be Mannheim, Germany, unless otherwise required by mandatory consumer protection law.

18. Changes to Terms

PlexoBio may modify these Terms at any time. Users will be notified of material changes, and continued use of the Platform constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Mandatory Reviews

Both Clients and Providers are required to leave a performance review upon the conclusion of each engagement. Failure to comply may result in reduced visibility or account restrictions.
